Formation: Orca and Loopscale Merged, but Nobody Has Explained the Token

CryptoAlpha

Two Solana protocols announced a merger this week and spent more words on "AI, energy, robotics, and defense" than on any number a trader could price. Orca, the automated market maker, and Loopscale, the credit protocol, are now Formation โ€” a New York corporation. That last phrase is the only hard data point in the release. Not the TVL. Not the token. The incorporation. When a DeFi protocol re-labels itself a corporation before it explains its balance sheet, you are not reading a merger announcement. You are reading a jurisdiction announcement. I have audited enough of these transitions to know the pattern: the release leads with the narrative and buries the mechanics. Here, the mechanics are missing entirely.

Orca has been one of Solana's steadier AMMs since 2021 โ€” concentrated liquidity, a clean interface, and a governance token, ORCA, that has spent most of the bear market searching for a reason to exist. Loopscale arrived later, a credit and lending venue built on Solana's throughput, smaller in TVL but structurally complementary: spot trading on one side, collateralized borrowing on the other. The merger logic is not mysterious. A DEX without a credit layer leaks users to Kamino and Drift. A lending desk without order flow leaks users to Jupiter. Stitch them together and you get the theoretical closed loop โ€” trade, borrow against the position, redeploy. On paper, that is a capital-efficiency argument, and a reasonable one.

The timing is not accidental. Solana DeFi spent 2024 riding a memecoin-driven volume wave, and when that wave receded, fee compression was brutal. Protocols that once subsidized liquidity with token emissions watched real revenue shrink. A merger in this environment is a survival instrument, not a growth instrument. Two sub-scale balance sheets are being stapled together to resemble one large one.

But the release does not describe a closed loop. It describes a pivot. Formation's stated target is financing real-world assets โ€” specifically AI infrastructure, energy, robotics, and defense โ€” inside US regulated markets. That is not a Solana DeFi story with a lending bolt-on. That is a different company wearing the same logo. Solana's DeFi has consolidated before, quietly, as yield compressed through 2024 and 2025. Raydium holds the volume crown. Jupiter owns the routing layer. Kamino owns lending. Orca has been a strong second-tier venue for two years, and second-tier venues merge when margins thin. Efficiency survives the storm; elegance does not.

Strip the narrative and three unresolved problems remain.

First, the integration. Two protocols merging is not a branding exercise; it is a smart contract migration. Who custodies the combined liquidity? Do existing ORCA and Loopscale pools stay live, or does user capital get force-migrated to new contracts? The release is silent. In every DeFi merger I have tracked, the migration window โ€” not the announcement โ€” is where funds are lost. Users who do not move in time sit in deprecated pools with no incentive to stay. One detail worth flagging, and one the release omits: Loopscale has a public security history. Merging inherits that exposure unless the vulnerable contracts are retired outright โ€” and the release says nothing about which code survives. Resilience is not predicted; it is audited.

Second, the token. Orca has one. Loopscale's status is unclear from public materials. If ORCA holders wake up to a swap ratio, an unlock reschedule, or โ€” the worst case โ€” a slow slide toward irrelevance while value accrues to Formation's equity, the merger becomes a transfer from token holders to shareholders. A New York corporation with regulated-market ambitions has every incentive to downweight an instrument that looks like a security and upweight equity that does not. That is not conspiracy; it is the Howey test doing what it does. The merger's most important clause is the one about the token, and the release does not contain it.

Third, the regulatory stack. Formation is a New York company targeting US regulated markets. If it touches virtual currency business in New York, that is a BitLicense โ€” the hardest crypto license in the country, granted by NYDFS at its discretion. Then layer defense assets on top: ITAR, export controls, government contracting rules. Then add the SEC's question of whether any issued instrument is a security. Three regulators, three clocks, three ways to stall. And the RWA stack is not a module you bolt onto an AMM. Financing an energy asset or a robotics manufacturer means oracles for off-chain data, a compliance gateway for accredited investors, a custodian or SPV for the underlying, and a legal wrapper that survives a subpoena. None of that exists in Orca's or Loopscale's current contracts. It has to be built, hired, and licensed โ€” from a standing start, under New York scrutiny. Chaos is just data waiting to be structured โ€” and here, the data is the compliance calendar, not the price chart.

Competitively, Formation enters a Solana market where the top of the table is already occupied. Raydium's liquidity depth, Jupiter's routing dominance, and Kamino's institutional lending relationships are not features a merger can replicate overnight. The combined entity gains a closed loop in theory and a longer runway in practice โ€” but no measurable edge against the incumbents it now has to beat.

The consensus read will be that this is a Solana DeFi team graduating into institutional finance. I think it is closer to the reverse: a retreat dressed as an ascent. Look at the asset classes chosen โ€” AI, energy, robotics, defense. These are the exact themes a16z branded "American Dynamism," the labels that open venture checks and policy doors in 2025. A protocol that genuinely believed in on-chain credit would be deepening lending markets, not re-labeling itself around defense procurement. RWA on-chain has been a three-year storytelling exercise, and the tell is always the same: the institutions these platforms claim to serve do not need a public chain to finance a data center. They need a bank, a lawyer, and a custodian.

So what does Formation actually sell? Not technology. It sells the compliance premium โ€” the option that regulated capital will pay up for a US-incorporated counterparty. That is a real market. It is also a market where the public chain is the least valuable component. When value migrates to the corporate wrapper, the token becomes a vestige. Every crash leaves a trail of broken leverage; every compliance pivot leaves a trail of stranded tokens.

The uncomfortable question for Formation's architects is not whether the narrative is attractive โ€” it plainly is. It is whether the two teams who built a Solana DEX and a small lending desk can suddenly staff a regulated asset-financing operation. Defense procurement, energy project finance, and AI infrastructure underwriting are not adjacent skills to AMM design. They are different professions. Hiring into them takes years; the narrative pays off in quarters.

Watch three things, and ignore the press release. One: the ORCA token disposal plan โ€” swap, migration, or slow marginalization. Two: whether this merger passed a governance vote or was simply executed by the teams. Three: the first real financing deal. Until a defense or energy asset actually settles on-chain, Formation is a New York incorporation with a Solana history and a story. The market breathes, but we must calculate โ€” and right now, there is nothing to calculate but the silence.
